NextDemo — End User License Agreement

This file is the authoritative End User License Agreement for the version of NextDemo with which it was shipped. You are reading the copy that lives inside the nextdemo package you installed. The package version that applies to you can be found in node_modules/nextdemo/package.json (the "version" field) or by running npm ls nextdemo in your project.

This End User License Agreement ("EULA") is a legal agreement between you and Next Iteration s.r.o., a company registered in the Czech Republic (IČO 19946279), with its registered office at Nové sady 988/2, Staré Brno, 602 00 Brno ("we", "us"), governing your installation and use of the NextDemo software ("Software"). By installing or activating a License Key, you agree to this EULA.
The honest version, in plain language: NextDemo is licensed by company size, not by seat count. Each tier covers one company. The Solo tier is for one person. We have generous internal fair-use limits to prevent license keys from being shared across unrelated companies, but those limits exist to stop abuse, not to cap how your team works. If you and your CI runners are within the spirit of the tier you bought, you have nothing to worry about.
1. Definitions
- Company — the legal entity (or individual, in the case of Solo) that purchased the Subscription.
- Authorized User — an employee, contractor, or intern of the Company who acts within the scope of the Company's business.
- Activation — the act of registering an installation of the Software with our license server using the License Key.
- Subscription — the paid plan associated with the License Key (Solo, Startup, Business, or Enterprise) for a recurring term.
2. License grant
Subject to your compliance with this EULA and your payment of all fees, we grant you a non-exclusive, non-transferable, non-sublicensable, worldwide license to install and use the Software for the duration of your active Subscription, solely for the Company's internal business purposes (or, for Solo, your personal purposes).
3. License scope by tier
Your Subscription tier defines the scope of your license by company size, not by number of seats or installs.
- Solo — one (1) person. A freelancer, sole proprietor, single-person company, or an individual using the Software for personal side projects.
- Startup — a Company with up to ten (10) people.
- Business — a Company with up to one hundred (100) people.
- Enterprise — a Company with more than one hundred (100) people.
For the purpose of counting "people", we include employees, contractors, and interns who are members of the Company. We do not count external customers, end users of the Company's own products, or unaffiliated third parties.
4. Tier upgrade obligation
If your Company grows past the headcount cap of your current tier, you must upgrade to the next tier no later than the start of your next renewal period. You do not need to wait for renewal to upgrade — you may do so at any time.
5. Authorized installations
You may install and Activate the Software on any number of devices owned or operated by the Company, including:
- Workstations and laptops used by Authorized Users;
- Continuous integration and continuous deployment (CI/CD) systems used to build, test, or release the Company's products;
- Virtual machines, containers, and ephemeral environments provisioned by the Company.
Each Activation consumes one slot from the technical activation counter associated with your License Key. The activation counter is an internal fair-use enforcement mechanism (see §6) and is not part of the license grant.
6. Fair use
You agree to use the Software in good faith and within the spirit of your purchased tier. Specifically:
- You may not share your License Key with any party outside the Company.
- You may not use a Solo License Key to install the Software for more than one person, even if the technical activation counter allows it.
- You may not split a single License Key across multiple unaffiliated companies.
We operate an internal fair-use policy with technical activation limits. The exact limits are not stated in this EULA so that we may adjust them operationally without amending the contract; the current limits are calibrated to be generous for legitimate use of each tier. If we detect activity inconsistent with fair use — for example, the same License Key being activated at a rate that clearly exceeds a single Company of your tier's size — we may contact you, suspend the License Key, or terminate this EULA in accordance with §11.
7. Restrictions
You may not, except to the extent expressly permitted by mandatory law:
- modify, adapt, translate, or create derivative works of the Software;
- reverse engineer, decompile, or disassemble the Software, except to the extent and only for the purposes expressly permitted by Article 6 of Directive 2009/24/EC of the European Parliament and of the Council on the legal protection of computer programs (and its national transposition in Czech Act No. 121/2000 Coll.), and only after you have requested the relevant information from us and we have failed to provide it within a reasonable time;
- rent, lease, lend, sell, sublicense, distribute, publish, transfer, or otherwise make the Software or License Key available to any third party;
- remove, alter, or obscure any copyright, trademark, or other proprietary notice from the Software;
- use the Software, or any of its components or output, to design, develop, train, or improve a competing product or service.
8. Intellectual property
The Software, including all updates, is and remains our exclusive property. This EULA grants you a license, not a sale. All rights not expressly granted to you are reserved by us.
9. Updates and versioning
We may, at our discretion, release updates, bug fixes, and new features. All such updates are part of the Software and are included in your Subscription at no additional charge.
This EULA is tied to the version of the Software with which it was shipped. When you upgrade to a newer version of the nextdemo package, you receive a new copy of this EULA that applies to that version. Patch-level package updates (e.g., 1.2.3 → 1.2.4) will never modify the substance of this EULA — they are reserved for bug fixes, security patches, and other non-material changes, and you can safely auto-upgrade patch releases without re-reviewing these terms. Any change to the substance of this EULA will be accompanied by at least a minor version bump of the package (e.g., 1.2.x → 1.3.0), so your package manager will treat it as an ordinary upgrade choice.
If a particular change to this EULA would materially reduce your rights — for example, by adding a new restriction on how you may use the Software — we will release it as a major version bump (e.g., 1.x → 2.0), which will not be auto-installed by default ^-ranged dependencies and will therefore require a deliberate decision from you to adopt.
10. Audit
On thirty (30) days' written notice, and not more than once per twelve-month period (or more frequently where we reasonably suspect a breach of §6 Fair use), we may ask you to provide a written self-certification confirming that your Company size and use of the Software comply with this EULA. We do not perform on-site audits.
11. Termination
This EULA is effective from the date you Activate the License Key and continues for the duration of your Subscription. We may terminate this EULA immediately if you breach any material provision (including §6 and §7) or if your Subscription is cancelled or refunded. On termination, you must stop using the Software, and your License Key will be deactivated.
12. Disclaimer and limitation of liability
The Software is provided under the warranty disclaimer and limitation of liability set out in our Terms of Service at https://nextdemo.app/legal/terms, which apply equally to this EULA. Nothing in this EULA excludes or limits any liability that cannot be excluded or limited by applicable law.
13. Third-party services
The Software can integrate with third-party services that you choose to enable and configure (for example, AI voice, audio, or media providers used to generate assets for your recordings). These integrations are optional and are inactive unless you enable them.
When you enable a third-party service, the Software connects to it directly from your machine using credentials you supply, and any content you submit is sent to that service under your own account. Your use of any third-party service is governed by that provider's own terms and privacy policy, not by this EULA. You are responsible for:
- your accounts, API keys, and any fees or usage charges you incur with the provider;
- holding all rights necessary for any content you submit to the provider;
- your own compliance with the provider's terms.
The Software does not route this content through our servers, and we neither control nor are responsible for the availability, output, or data handling of any third-party service. These integrations are provided "as is", and we may add, change, or remove the available integrations over time.
14. Governing law
This EULA is governed by the laws of the Czech Republic. The consumer carve-out and out-of-court dispute resolution provisions in our Terms of Service at https://nextdemo.app/legal/terms apply equally to this EULA.
